PLEASE READ THIS USER AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING THE WOOD INVENTORY & FINDER APPLICATION AND WEBSITE ("PLATFORM").

By creating an account, accessing, or using the Platform in any way, you agree to be bound by this Agreement. If you do not agree, do not use the Platform.

This Agreement is a legally binding contract between you and Wood Finder & Inventory / TNMC LLC ("Company," "we," "our," or "us").

1. ACCEPTANCE OF TERMS

By accessing or using the Platform, you acknowledge that you:

  • Have read and understood this Agreement
  • Are at least 18 years old
  • Accept all obligations, disclaimers, and limitations listed here

If you are entering into this Agreement on behalf of a business, you represent that you are authorized to bind that business to these terms.

2. PURPOSE OF THE PLATFORM

Wood Finder & Inventory is a tool that allows users to:

  • Create and manage wood inventory records
  • Display wood publicly for sale or privately for personal use
  • Upload images and data
  • Connect with other users via in-app messaging
  • Search for wood listed by other users
  • View marketplace listings
  • Communicate and negotiate independently

We do NOT sell wood, inspect wood, verify listings, or participate in transactions. We only provide a platform for users to interact.

3. USER RESPONSIBILITIES

You are solely responsible for:

  • The accuracy of any data, images, or listings you upload
  • Your communication with other users
  • Your transactions, negotiations, and agreements
  • Ensuring compliance with local, state, and federal regulations
  • Paying taxes or fees associated with any sale

We do not verify user identities or user-submitted content.

4. NO LIABILITY FOR USER CONTENT

You acknowledge and agree that:

  • All listings, descriptions, measurements, claims, photos, prices, and information are user-generated.
  • We do not endorse, guarantee, or verify any listing or representation made by any user.
  • We are not responsible for fraud, misrepresentation, inaccurate dimensions, unsafe materials, defective goods, or illegal items posted by users.

You agree to release the Company from any and all liability arising from:

  • Purchases or sales
  • Interactions with users
  • Content or photos
  • Disputes
  • Misleading or fraudulent listings
  • Damages of any kind

You use the marketplace at your own risk.

5. NO LIABILITY FOR TRANSACTIONS

All transactions conducted between users—whether negotiated in-app or outside the app—are strictly between the buyer and seller.

The Company is not a party to any transaction.

You acknowledge that:

  • We do not collect payments
  • We do not handle refunds
  • We do not guarantee delivery, accuracy, quality, or safety of materials
  • We have no control over pricing, condition, legality, or authenticity

You agree to hold the Company harmless from any disputes, losses, injuries, or damages related to transactions.

6. DATA COLLECTION, USE, AND SALE

By using the Platform, you consent to the collection, storage, processing, and sale of data, including but not limited to:

  • Account information
  • Profile information
  • Uploaded images
  • Inventory data
  • Device data
  • Browsing activity
  • Location data (approximate)
  • Search history
  • Interaction logs
  • Marketplace behavior
  • User preferences
  • Analytics

We may:

  • Use data internally
  • Sell data to third parties
  • Share data with partners, advertisers, and affiliates
  • Use data for analytics, marketing, AI training, and product improvement

You acknowledge and agree that your use of the Platform constitutes consent to data collection and data sales, subject to all applicable laws.

7. NO WARRANTY

The Platform is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, including:

  • Accuracy
  • Reliability
  • Availability
  • Fitness for a particular purpose
  • Non-infringement
  • Security
  • Performance

We make no guarantee that:

  • The Platform will function uninterrupted
  • Errors or bugs will be fixed
  • Data will be stored securely
  • User content will be accurate or truthful
  • Messaging will reach intended recipients
  • Marketplace results will be correct or complete

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

TNMC LLC, its owners, employees, developers, and affiliates shall not be liable for ANY damages whatsoever, including:

  • Direct
  • Indirect
  • Incidental
  • Consequential
  • Special
  • Punitive
  • Loss of data
  • Loss of profits
  • Loss of business
  • Personal injury
  • Property damage

This includes damages arising from:

  • Use or inability to use the Platform
  • User interactions
  • Marketplace listings
  • Viruses, bugs, or data breaches
  • Unauthorized access to accounts
  • Deceptive or fraudulent users
  • Any transaction or communication with another user

Your sole remedy is to discontinue using the Platform.

9. USER CONDUCT

You agree NOT to:

  • Post illegal or hazardous materials
  • Misrepresent wood or inventory
  • Upload harmful code, spam, or abusive content
  • Impersonate others
  • Create fake or duplicate accounts
  • Use the Platform for criminal activity
  • Harass or intimidate other users

Violations may result in account suspension or permanent ban.

10. ACCOUNT TERMINATION

We reserve the right to:

  • Terminate accounts at our discretion
  • Remove or modify any content
  • Ban users for any reason
  • Refuse service to anyone

Termination may occur with or without notice.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless TNMC LLC and its affiliates from any claims, costs, damages, losses, liabilities, and expenses, including attorney's fees, arising from:

  • Your use of the Platform
  • Your content
  • Your transactions
  • Your interactions with other users
  • Your violation of this Agreement

12. MODIFICATION OF TERMS

We may update this Agreement at any time by posting a revised version. Continued use of the Platform constitutes acceptance of all updates.

13. GOVERNING LAW

This Agreement shall be governed by and interpreted according to the laws of the State of California, without regard to conflict-of-law principles.

Any dispute shall be resolved through binding arbitration in California.

15. COMPLETE RELEASE OF LIABILITY

By using Wood Finder & Inventory, you fully and irrevocably release TNMC LLC from any liability of any kind, known or unknown, foreseeable or unforeseeable, relating to:

  • Use of the app
  • Marketplace listings
  • User-generated content
  • Wood quality, accuracy, safety, legality
  • Transactions, payments, or negotiations
  • Communications
  • Data collection or data sales
  • Third-party services

You assume 100% responsibility for your interactions and outcomes.
